The company has an April 19 deadline to accept or contest the penalty, and if they choose to pay the fine, it is going to be a record US$16.4 million fine. Paying the fine could be could be cast as an admission of wrongdoing but to fight against the government can result in bad publicity and long trials. The proposed fine of US$16.4 million is the most the government could levy, but further penalties are possible under continuing federal investigations. It is to note that Toyota is already flooded with hundreds of private lawsuits.
